The technology industry plays an essential role in Canada's economy. From wireless and VOIP to nanotechnology and GPS, the sector's innovation, multiple ownership plays and convergence activities have stimulated tremendous market activity and exponential growth.

The Bennett Jones technology law team provides a focused, industry-sensitive approach to the legal issues governing the development, protection, exploitation, use and enforcement of technology and the special legal issues affecting technology businesses. With public and private sector clients who operate or rely on technology of all types, we offer boutique-styled intellectual property advice supported by the collective strength of a broad and diverse practice.

Our lawyers help clients protect and enforce underlying intellectual property rights, including the patents, copyrights, trade-marks and confidential information that are fundamental to the use and exploitation of technologies. We also advise on the broad spectrum of issues governing business operations, regulation, financings, transactions and IPOs, and negotiate, draft and review agreements and licenses in connection with technology contracting of all types. A large portion of this legal work involves the negotiation and drafting of development, outsourcing, procurement, distribution, marketing, consulting, and e-commerce agreements for operators and purchasers of a wide range of equipment and services. With our assistance, for example, financial services companies have acquired trading floor systems and established on-line banking facilities, and international clients have been successful in the facilities development and market exploitation of their products in Canada.

Our service commitment is to understand fully the technical and business issues facing our clients, and aid our clients in the development, acquisition and exploitation of technology products and services worldwide. We view each transaction holistically, adopting an integrated approach and often assembling client teams as needed to handle various aspects of the deal. As a result, our technology lawyers and advisors work closely with securities, tax, mergers and acquisitions, banking, competition, capital markets and procurement lawyers to establish strategic alliances and joint ventures, negotiate the procurement of information systems, or lead an initial public offering, merger or acquisition.

Canadian Utilities Limited, an ATCO company, in the sale of its entire Canadian fossil fuel-based electricity generation portfolio for approximately $835 million, which was completed in three stages, through the sale of its interest in the Cory project in Saskatchewan to SaskPower International Inc., a sale of its interest in the Brighton Beach project in Ontario to Ontario Power Generation Inc., and a sale of the balance of the applicable generation assets through a sale of its equity interest in ATCO Power Canada Ltd. to Heartland Generation Ltd., an affiliate of Energy Capital Partners.

Darling International Inc., in its acquisition of all the assets of Rothsay, a division of Maple Leaf Foods Inc., for approximately $645 million.
