Simon Grant practises corporate and commercial law, with an emphasis on financing transactions and financial regulation. He routinely acts for borrowers, credit providers and sponsors on loan facilities, complex M&A transactions and financings in the mining sector including streaming, royalty and offtake transactions. 

Simon also advises clients on financial regulation, including fintech companies and foreign financial institutions doing business in Canada. He is co-head of Bennett Jones' cross-disciplinary Fintech & Blockchain practice group.

Recent Experience

Brainlabs, a portfolio investment of Livingbridge and a leading data-led marketing agency, in its acquisition of Canadian programmatic buying and Google marketing platform consultants, MediaNet.
Gateway Casinos & Entertainment Limited, in a $200-million loan made available by Canada Enterprise Emergency Funding Corp. (CEEFC) under the Large Employer Emergency Financing Facility (LEEFF). The LEEFF loan to Gateway was the first loan advance of its kind.
Vancouver Airport Fuel Facilities Corporation, in its $330-million offering of Series I bonds through RBC Capital Markets.
Third Eye Capital Corporation, entered into a $20 million Term Loan Facility and $30 million Revolving Credit Facility with the Term Borrower and Revolving Borrower.
Calgary Glycol Facilities Corporation, in the Calgary Airport Dedicated De-icing Facilities Project.
Coronal Group, in the project financing of an Ontario-based utility-scale solar energy electricity generating project.
Gateway Casinos & Entertainment Limited, $200-million acquisition of two bundles of Casinos from the Ontario Lottery and Gaming Corporation (OLGC) and $920-million refinancing of existing debt and acquisition financing.
Leyou Technologies, acquisition of 97 percent of Digital Extremes for an aggregate purchase of US$134.6 million and on a second closing, Leyou Technologies of Hong Kong.
International Media Company, aggregate of $110-million syndicated cross-border bank financing, note purchase financing and TV production financing. Lien secured lender to FirstOnSite in its Ontario court supervised CCAA restructuring proceeding and extension of a debtor-in-possession (DIP) financing; and (b) acquisition credit facility in favour of the purchaser of the FirstOnSite assets.
Ameresco secures C$6,358,000 for project financing from Travelers Capital Corporation for the development of solar panels on schools in the Grand Erie District School Board of Ontario.
Calico Resources Corp., (TSXV) in its business combination with Paramount Gold Nevada Corp. (NYSE MKT) pursuant to a court approved plan of arrangement.
Argonaut Gold Inc., a Canadian gold company with projects in Ontario and Mexico, secured a US$30-million revolving credit facility from a syndicate of lenders led by Bank of Montreal.
TerraPro Group Inc., an Alberta-based provider of environmental, terrain protection and remote access solutions, in its reorganization pursuant to a plan of arrangement and concurrent refinancing.
Leyou Technologies Holdings, a Hong Kong Stock Exchange-listed company, acquired 39 percent of Digital Extremes, a video game developer based in London, Ontario, for US$65 million.
Underwriters for a $155-million initial public offering of TMAC Resources Inc.
BMO Capital Markets and CIBC World Markets, as co-lead underwriters of the $155-million initial public offering of TMAC Resources Inc.
A multinational private equity firm, in a US$110-million financing of an energy company.
Wheels Group, Inc., in its corporate reorganization and subsequent acquisition by Radiant Logistics Inc. pursuant to a court approved plan of arrangement for approximately $100 million.
A transportation company, in a US$15-million acquisition financing.
A private equity firm, in a US$18-million acquisition financing of an educational services company.
A European bank, in the financing of a retail clothing chain.
Duluth Metals Limited, in the acquisition by Antofagasta plc of all of the outstanding common shares of Duluth Metals Limited by way of a plan of arrangement for a total transaction value of approximately $104.6 million.
Klondex Mines Ltd., in its US$83-million acquisition of the Midas mine and mill complex in Nevada from Newmont Mining Corporation, and related acquisition financings.
Gateway Casinos & Entertainment Limited, in its $200-million high yield note offering in Canada and the United States as part of a $510-million refinancing.
