Based in Toronto and Vancouver, Angela Blake advises Canadian and international public and private companies and private equity groups on mergers and acquisitions, securities and corporate finance matters. She is able to quickly understand her clients' strategic business objectives and provide creative solutions regarding complex agreements and transaction structures, raising capital and M&A.

Angela's transactional experience includes public and private M&A (both buy and sell side), public listings, private placement financings, prospectus offerings and reverse takeovers. She also advises on a wide range of corporate governance topics, including ESG matters, governance policies for boards of directors, regulatory compliance and continuous disclosure requirements, and has assisted special committees advising on responses to hostile takeovers and other special transactions.

Angela represents clients across a broad spectrum of industries, including mining, healthcare, technology, entertainment, cannabis, psychedelics and Web3 digital assets. She is passionate about providing her clients with pragmatic advice and an exceptional level of service, so that they can be comfortable knowing that they will have her support at critical times. 

Angela currently sits on the Ontario Local Advisory Committee of the TSX Venture Exchange, and previously sat on its British Columbia Local Advisory Committee and as a member of the Events Committee of the Women's Leadership Circle Advisory Board at the Greater Vancouver Board of Trade.

Angela is also a strong supporter of the BC Cancer Foundation and previously sat on the Organizing Committee of its annual Hope Couture fundraising event, which raised almost $2 million for cancer research and care during her three-year tenure.

Recent Experience

Waterton Global Resource Management, Inc., a leading private equity firm that specializes in the metals and mining sector, in various transactions, including:

  • the US$206.5 million sale of the owner of the Goldfield District Project in Nevada to Centerra Gold Inc;
  • the US$150 million sale of the Ruby Hill Mine in Nevada to i-80 Gold Corp.;
  • the US$45 million sale of the owner of the Reward Project in Nevada to Augusta Gold Corp.;
  • the US$45 million sale of the FAD Property in Nevada to Paycore Minerals Inc.;
  • the $25 million sale of Trillium Mining Corp. to Alamos Gold Inc.; and
  • the sale of a portfolio of royalties to Sandstorm Gold Corp.
Sandbox Royalties Corp., a new diversified metals royalty company, in its US$93 million acquisition of portfolios of royalties from Sandstorm Gold Ltd. and Equinox Gold Corp. and related concurrent financing.

Tokens.com Inc., a publicly traded company that invests in Web3 assets, in various matters including its:

  • go public transaction on the NEO Exchange and concurrent US$25 million subscription receipt financing led by Stifel GMP; and
  • $16 million brokered private placement led by Stifel GMP.
Dr. Sandy Skotnicki, one of Canada's leading dermatologists and the founder of Bay Dermatology Centre, in the formation of a business partnership with Victoria Park MediSpa.

Third Eye Capital, a leading Canadian private credit firm, in connection with:

  • the management buyout and related financing of Cricket Energy Holdings Inc., a leading home services and smart energy solutions company, in a transaction valued at over $200 million;
  • a minority investment by Kudu Investment Management, LLC, an independent provider of permanent capital solutions to asset and wealth managers worldwide; and
  • the acquisition and financing by plan of arrangement of a leading global software and communications solutions company.
Empower Clinics Inc., an integrated healthcare company listed on the Canadian Securities Exchange, in various matters including its acquisition of Medi+Sure Canada Inc., a Canadian medical device company, and various private placement financings.
Rosedale Resources Ltd. in its combined $93.4-million acquisition of certain royalties from Equinox Gold Corp. and Sandstorm Gold Ltd., and Rosedale's continuation as Sandbox Royalties Corp.
Productivity Media Inc., a production and finance company providing senior secured debt for film and television production, and its affiliates in various transactions. 
ICLS Dermatology, one of Canada's leading medical aesthetics clinics, in its acquisition by MedSpa Partners Inc.
VIVO Cannabis Inc. in various matters including its go public transaction on the TSX Venture Exchange, up-listing to the Toronto Stock Exchange and 2021 overnight marketed public offering.
Kalo Gold Holdings Corp. in its go public transaction on the TSX Venture Exchange and related concurrent financing.
Magna Mining Inc. in its go public transaction on the TSX Venture Exchange and related concurrent financing. 
iMD Health Global Corp., a telehealth company, in its acquisition by CloudMD Software & Services Inc.
48North Cannabis Corp. in its bought-deal short-form prospectus offering of units for gross proceeds of $28.75 million.
