On May 14, 2026, the Canadian Securities Administrators proposed wide-ranging amendments to Canada&rsquo;s issuer bid, take-over bid and early warning reporting regimes aimed at increasing flexibility, improving transparency around derivatives and reducing regulatory burden. Key changes include a potential selective repurchase exemption, enhanced disclosure for equity equivalent derivatives, and updated guidance on early warning reporting triggers and intentions. The proposals also codify certain exemptions and modernize bid mechanics in light of recent market practice and T+1 settlement.

The Toronto Stock Exchange has published for comment proposed amendments to the TSX Company Manual. 
The amendments are intended to support capital markets by: 
<ol>
 <li>moving away from sector-specific listing requirements to industry agnostic tests for industrial companies; </li>
 <li>revising the specialized listing categories for Mining Companies and for Oil and Gas Companies; </li>
 <li>updating sponsorship requirements; and </li>
 <li>removing requirements applicable to Non-Exempt issuers. The TSX is seeking public comment on the proposed amendments until May 5, 2025.</li>
