Philip Ward has a general corporate tax practice that focuses on domestic and international tax planning, advising on the income tax aspects of mergers and acquisitions, corporate reorganizations and financings.

Recent Experience

ecobee Inc. in the US$770-million acquisition by Generac Holdings Inc. of all of ecobee Inc.'s outstanding securities by way of a plan of arrangement under the Canada Business Corporations Act.
Allied Track, in a $132.5-million debt restructuring pursuant to the proposal proceedings. This was in response to significant liquidity and cash flow issues, which commenced proposal proceedings pursuant to the Bankruptcy and Insolvency Act in order to conduct a sale process in respect of substantially all of its assets and operations.
Acquisition of IBI Group Inc. by Arcadis NV for $873 million via a plan of arrangement.
Brainlabs, a portfolio investment of Livingbridge and a leading data-led marketing agency, in its acquisition of Canadian programmatic buying and Google marketing platform consultants, MediaNet.
True Wind Capital and its portfolio company, Transflo, in Transflo's approximately $20-million acquisition of Microdea, a document management software company in the transportation and logistics sector.
Urban Life Solutions Inc., backed by Signal Hill Equity Partners, in its acquisition of the P. Munro Group.
City Wide Towing and Recovery Service Ltd., backed by Signal Hill Equity Partners, in its acquisition of ULS Maintenance & Landscaping Inc.
Excellon Resources Inc., in its $32.3-million acquisition of Otis Gold Corp by way of a Statutory Plan of Arrangement under the BCBCA.
Safety Express Ltd., in its acquisition of Norclean International Corporation.
Baker Technologies, Inc., a Colorado-based provider of cannabis-specific customer relationship management software, in its business combination with Santé Veritas Holdings Inc., Briteside Holdings, LLC and Sea Hunter Therapeutics, LLC.
Filter Group Inc., and its shareholders, in the $41-million sale of all of its issued and outstanding shares to a subsidiary of Just Energy Group Inc.
AlarmForce Industries Inc., in its $184-million sale to BCE Inc.
ECi Software Solutions Inc., a leader in industry-specific information technology solutions, in its $15-million acquisition of PrintFleet Inc.
Toronto-based FlashStock Technology Inc., in its sale to Shutterstock, Inc., a leading global provider of commercial digital imagery, for approximately US$50 million.
Crius Energy Trust, in completing the acquisition of remaining interest in Crius Energy, LLC.
Red Cloud Klondike Strike Inc., as lead agent in Red Pine Exploration Inc.'s offering of flow-through shares and units for gross proceeds of approximately $2.158 million.
Oban Mining Corporation (TSX), in its acquisition of NioGold Mining Corp. (TSXV) pursuant to a court approved plan of arrangement.
Intrafinity Inc., doing business as SharpSchool, in the acquisition of substantially all of its assets by West Corporation.
Premier Gold Mines Limited, a Canadian-based mineral exploration company, in its proposed 50/50 partnership with Centerra Gold Inc. for the joint ownership and development of Premier's Trans-Canada Property including the Hardrock Gold Project located in the Geraldton-Beardmore Greenstone Belt in Ontario.
Osisko Gold Royalties Ltd., in its agreement with a syndicate of underwriters, co-led by Macquarie Capital Markets Canada Ltd. and RBC Capital Markets for a bought deal private placement of approximately $200 million.
Osisko Gold Royalties Ltd., in its business combination to acquire Virginia Mines Inc. for approximately $461 million.
Extendicare Inc., a leading North American provider of post-acute and long-term senior care services, in the sale of substantially all of its nursing, rehabilitative and assisted living business in the United States to a group of investors led by Formation Capital, LLC, a healthcare-focused private investment firm, and an affiliate of Safanad Inc. a global investment firm, for US$870 million.
Underwriting syndicate lead by BMO Nesbitt Burns Inc., in a public offering of $425,874,000 principal amount of receivables-backed notes issued by CNH Capital Canada Receivables Trust.
Osisko Mining Corporation, in its response to Goldcorp Inc's unsolicited offer and subsequent agreement with Yamana Gold Inc. and Agnico Eagle Mines Limited to jointly acquire 100% of Osisko's issued and outstanding common shares for total consideration of $3.9 billion.
OneRoof Energy, Inc., a California-based solar finance provider, with its cross border IPO $50 million private placement and concurrent listing on the TSX Venture Exchange through a qualifying transaction with Carlaw Capital IV Inc.
An underwriting syndicate lead by RBC Dominion Securities, in a public offering of $465,003,000 principal amount of receivables-backed notes issued by CNH Capital Canada Receivables Trust.
