In recent years, the OSC and other regulatory bodies began signaling to public markets that regulators intended to crack down on what they termed abusive short-sellers. Against this backdrop, the OSC brought enforcement proceedings before the Ontario Capital Markets Tribunal (CMT) naming Cormark Securities Inc., Saline Investments Ltd., and individuals as respondents. The proceedings focused on an alleged illegal and abusive short selling scheme. At the conclusion of a lengthy hearing on the merits, the CMT dismissed all of the OSC’s allegations.

Since 2014, the Toronto Stock Exchange (TSX) has required listed issuers without a majority shareholder to implement a majority voting policy requiring each of its directors to be elected by a majority of the votes cast (50 percent plus one vote) with respect to their election at uncontested shareholder meetings. The Ontario Superior Court of Justice&rsquo;s decision in Nivora Group LLC v. Ping et al. clarifies the strict limits on Norwich orders in the context of crypto asset disputes. The Court dismissed a motion seeking third-party disclosure from cryptocurrency exchanges, reaffirming that Norwich relief is an extraordinary remedy available only where it is truly necessary and cannot be used to replace ordinary discovery. Even in cases involving alleged asset tracing, applicants must demonstrate that the third party is the only practicable source of the information and that the interests of justice favour disclosure.
