Westport Fuel Systems Inc. has entered into a binding agreement to sell its interest in Westport Fuel Systems Italia S.r.l., which includes the Light-Duty segment, including the light-duty OEM, delayed OEM, and independent aftermarket businesses, to a wholly-owned investment vehicle of Heliaca Investments Coöperatief U.A., a Netherlands based investment firm supported by Ramphastos Investments Management B.V. a prominent Dutch venture capital and private equity firm. The transaction provides for a base purchase price of US$73.1 million, subject to certain adjustments, and potential earnouts of up to an estimated US$6.5 million if certain conditions are achieved, in accordance with the terms of the agreement.

The Toronto Stock Exchange has published for comment proposed amendments to the TSX Company Manual. 
<p style="margin-top: 12pt; text-align: left;"><span>The amendments are intended to support capital markets by: </span></p>

    <li><span>moving away from sector-specific listing requirements to industry agnostic tests for industrial companies; </span></li>
    <li><span>revising the specialized listing categories for Mining Companies and for Oil and Gas Companies; </span></li>
    <li><span>updating sponsorship requirements; and </span></li>
    <li><span>removing requirements applicable to Non-Exempt issuers. The TSX is seeking public comment on the proposed amendments until May 5, 2025.</span></li>

Pursuant to the agreement, Cliffside Ltd. will acquire all of the issued and outstanding common shares in the capital of Cliffside Capital from their holders by way of a statutory plan of arrangement for consideration of $0.10 per common share, other than common shares held by certain shareholders of Cliffside that validly elect to receive common shares in the capital of Cliffside Ltd. in exchange for their common shares. Upon completion of the arrangement, Cliffside Capital will be a privately-held company.
