Michael Clifford advises clients on asset securitizations and other structured financings, factoring arrangements, secured financings, project financings, asset-based acquisition financings and related derivative products. He has been involved in structuring numerous diverse and sophisticated securitization structures in the in the public, private and cross-border markets on behalf of financial institutions, national and multi-national corporations and crown corporations and other government agencies.
In his practice, Michael has represented sellers, underwriters, single and multi-vendor conduits, lenders, borrowers, factorers, financial intermediaries and credit enhancers. His expertise includes securitizing a broad range of asset classes including residential and commercial mortgages, auto and equipment loans and leases, credit card receivables, trade receivables, lines of credit and floorplan receivables. He has also been involved in structuring transactions backed by government and quasi-government guarantees, using securitization structures to facilitate acquisition financing, energy and other project financings and domestic and cross-border factoring. He also acts regularly for borrowers, lenders and underwriters on secured leading and other more traditional corporate finance transactions.
Michael has been a recognized leader in the areas of structured finance and asset securitization law by international and domestic directories such as Chambers Global: The World's Leading Lawyers for Business, Expert Guides, Lexpert and Best Lawyers.
Michael regularly speaks at national and international conferences on matters related to structured finance and securitization, and at lawyer focused programs administered by the Law Society of Upper Canada.
