Melissa Birman has a general corporate commercial law practice, with a focus on corporate development and governance. She advises clients on various matters, including private equity and debt transactions, private mergers and acquisitions, corporate reorganizations and shareholder arrangements.
Melissa's practice includes the representation of start-up, growth and mature companies, frequently in the technology, media and entertainment fields.
Melissa provides advice to boards, independent committees and management on governance matters and director protection issues, including directors' duties, directors' and officers' insurance and indemnification.
Melissa is the author of a chapter in Directors' Duties in Canada, 5th Edition, published in Canada by CCH Canadian Limited in 2012. She also co-edited and provided supplemental writing in Directors' Duties in Canada, 4th Edition in 2009.
