Ceilidh Hemmati has a general corporate and commercial practice with a focus on mergers and acquisitions, financial services, and private equity. She has experience working with a diverse group of clients in different industries including in the oil and gas, energy services, technology, and medical marijuana industries.

In her finance practice, Ceilidh routinely acts for borrowers, lenders and investors. She provides banking advice on acquisition financing, project financing, asset-based lending and debt restructuring. Ceilidh has a strong interest in emerging and innovative technologies and their impact on the delivery of financial services.  

Beyond her finance practice, Ceilidh is also well versed in mergers and acquisitions and private equity matters. Her experience includes advising buyers, sellers and private equity groups in connection with a wide range of transactions, including joint ventures, asset and share purchases and sales, and corporate reorganizations. Her work on these transactions ranges from strategic planning advice to legal and business risk management, and the negotiation and drafting of definitive agreements. Ceilidh has also acted for issuers in connection with private offerings of equity and debt securities.

Ceilidh is proud to practice in Edmonton, but enjoys being able to escape to the Rocky Mountains in her spare time.

Select Experience

  • Acted on behalf of an Alberta based oilfield services company with operations in North American and the Middle East, in connection with its US$26 million disposition of its business and operating assets to a US-based strategic buyer.
  • Acted on behalf of Progressive Home Warranty Solutions Inc. and Pacific Home Warranty Insurance Services Inc. (the "PHWG Group") in connection with the sale of all of the shares and business of PHWG Group to Hub International Limited.
  • A private equity firm, in completing a strategic bolt-on acquisition to an existing portfolio company in its fund with a value of $6 million
