Calgary - Senior Paralegal, Corporate Services

Essential Functions

  • Prepares documents for public, private and non-profit entities including incorporations, continuance/transitions, organizations, amendments, amalgamations and dissolutions under the Canada Business Corporations Act, Business Corporations Act (Alberta), Part 9 of the Companies Act (Alberta), Societies Act (Alberta) and Not-for-profit Corporations Act (Canada)
  • Prepares and arranges for filing of extra-provincial registrations and update documents
  • Prepares documents relating to share transactions including preparation of resolutions, subscriptions, issuance of share certificates, and updates to registers
  • Conducts minute book reviews and prepares necessary documents to bring minute books current
  • Accesses the Corporate Registry Systems (CORES) and completes filings of various corporate documents (Levels I, II & III)
  • Assists with mentoring other team members and students
  • Assists with the completion and monitoring of filings and conducts searches on the SEDAR system
  • Provides backup assistance for other SEDAR filers
  • Prepares Alberta and Extra-Provincial annual returns, annual resolutions and various notices
