Alan Rautenberg provides tax planning advice with respect to domestic and cross-border mergers and acquisitions, takeovers, public debt and equity financing structures and reorganizations as well as advising on cross-border investment structures.

Alan acts for public corporations, large, closely-held companies and private equity funds.

He has particular experience with mergers, acquisitions and dispositions, and securities and financing transactions in the energy and natural resources sector, acting for oil and gas, mining and alternative energy companies. Alan has provided tax advice on the formation of several royalty trusts, including foreign asset investment trusts, and has advised on acquisition, disposition, merger and financing transactions involving royalty trusts.

He contributes regularly to tax publications and has spoken and presented papers at tax conferences sponsored by the Canadian Tax Foundation and the Canadian Petroleum Tax Society.

AECOM Energy Services Ltd., a wholly owned subsidiary of AECOM, in the sale of its Alberta-based production services division to ClearStream Energy Services Inc. for approximately $40 million.
Construction and sale of a 50 MW ground-mount solar PV power project to GE Capital.
Construction and sale of a 40 MW ground-mount solar PV power project to NexEra Resources.
First Solar Inc. with the development, permitting, financing and divestiture of an Ontario-based 50-MW solar energy facility to a partnership consisting of GE Energy and Plutonic Holdings for a purchase price of approximately $400 million.
Flint Field Services Ltd., a provider of construction services in the oil and gas industry, with the divestment of its Tubular Inspection and Management business segment to ShawCor Ltd.
Eagle Energy Trust, a TSX-listed oil and gas trust, with its acquisition of Coda Petroleum Inc. for approximately $30 million (cash and assumed debt).
Crocodile Gold Corp. (TSX) with its combination with Newmarket Gold Inc. (TSXV) pursuant to a court approved plan of arrangement for approximately $185 million.
Resource Well Completion Technologies Inc. with the acquisition by Schoeller-Bleckmann Oilfield Equipment AG of a majority interest for approximately $40 million.
Veresen Inc. with the public offering of 56,120,000 subscription receipts for aggregate gross proceeds of approximately $920 million to be used to partially fund the acquisition of the 50-percent convertible preferred interest owned by Global Infrastructure Partners in the Ruby pipeline system for US$1.425 billion.
Harvest Operations Corp. with the sale of its subsidiary North Atlantic Refining Limited to SilverRange Financial Partners LLC. The sale includes North Atlantic's Canadian refining and marketing businesses in Newfoundland.
Riverstone Holdings LLC and other investors with the equity commitment of $675 million to back the creation of a new oil and gas company, Calgary-based Canadian Non-Operated Resources LP.
North West Redwater Partnership with its $3.5-billion credit facility and $1.0-billion bond offering, the proceeds of which will contribute to the funding of the construction of North West's $8+ Billion bitumen refinery in the Alberta Heartland. The project is supported by 30-year tolling commitments of the Government of Alberta and Canadian Natural.
JAPEX Montney Ltd., a Canadian subsidiary of Japan Petroleum Exploration Co., Ltd., with the acquisition, from Canadian subsidiaries of PETRONAS, the Malaysian national oil company, of an undivided 10-percent interest in upstream natural gas assets located in the North Montney area of northeast BC and the proposed Pacific Northwest LNG export facility to be built near Prince Rupert, BC.
Gibson Energy Inc. with its US$445-million acquisition of all of the issued and outstanding common stock of the parent holding company of OMNI Energy Services Corp.
Gibson Energy Inc. with its completed offering of subscription receipts for total gross proceeds of approximately $403 million.
Guide Exploration Ltd. with its acquisition by WestFire Energy Ltd. for approximately $200 million.
Glencore International with its sale to CF Industries of Viterra's 34-percent stake in Canadian Fertilizers Limited following closing of Glencore's supported $6.1-billion acquisition of Viterra Inc.
Glencore International with its acquisition of all the outstanding shares of Viterra for approximately $6.1 billion by way of a plan of arrangement and the sale of certain assets of Viterra to each of Agrium and Richardson International for aggregate proceeds of approximately $2.6 billion.
Flint Energy Services with its acquisition by URS Corp for $1.25 billion pursuant to a plan of arrangement.
North American Oil Trust with its proposed initial public offering of trust units.
Gibson Energy Inc. with its acquisition of Palko Environmental Ltd.
Flint Energy Services with its US$138-million acquisition of Carson Energy Services.
Gibson Energy Inc. with its $500-million initial public offering.
Secure Energy Services Inc. with its $132-million acquisition of all of the outstanding shares of Marquis Alliance Energy Group Inc. 
Korea National Oil Corporation, together with a local partner in Kazakhstan, with the acquisition of 100 percent of the shares in Altius Holdings Inc.  
Ares Management LLC with its investments in Plasco Energy Group Inc.
Fort Chicago Energy Partners L.P. with its public offering, on a bought deal basis, of $75-million aggregate principal amount of 5.75-percent convertible unsecured subordinated debentures, Series C.
Korea National Oil Corporation, the state-owned oil and gas company of South Korea, with its acquisition of Harvest Energy Trust for approximately $4.1 billion.
Riverstone Holdings LLC with their agreement to acquire Gibson Energy Holdings, Inc. from Hunting Plc for a purchase price of $1.25 billion and related financing.
Upper Lake Oil and Gas Ltd. and Monterey Exploration Ltd. with their arrangement agreement providing for a business combination between the companies. The transaction is to be undertaken pursuant to a plan of arrangement.
Forbes Energy Services with its $172-million initial public offering of common shares.
Salamander Energy plc with its US$220-million acquisition of GFI Oil & Gas Corporation by way of a plan of arrangement.
TSX Group Inc. with its acquisition of NetThruPut Inc. from Enbridge Inc. and Circuit Technology Limited.
