The seminar will describe and explain current trends with respect to shareholder activism in Canada, including the legal obligations and the overall strategies of public companies, dissident shareholders, boards of directors, and legal and other advisors, including proxy solicitation firms. The panelists will discuss proxy contests from the investor perspective, including ownership thresholds, shareholder meeting and proxy solicitation pitfalls and legal risks and opportunities. The panelists will also discuss laws, communication strategies and director exposure. Finally, the mechanics of proxies and the use of shareholders lists for proxy solicitation will be addressed
