Overview

Shoshanah Webber is a member of the firm's Banking & Secured Transactions group and practices in our Financial Services, Asset/Equipment Finance & Lending, Restructuring & Insolvency and Corporate/ teams. Shoshanah's practice focuses on corporate and commercial lending, including syndicated transactions, asset-based lending, cross-border transactions, real estate financing, acquisition financing and project financing, debtor-in-possession financing and forbearance arrangements.

Shoshanah regularly represents domestic banks, private lenders and foreign financial institutions, as lenders, and various corporations, partnerships and trusts, as borrowers.

Shoshanah is a Director of the Mixed Company Theatre, a not for profit entity that uses forum theatre to facilitate social change. She is also a former Director and Honorary Legal Counsel for the Rotary Club of Vancouver, and a member of the Solicitors Legal Opinion Committee British Columbia.

Acting for APM Global Holdings in Canada on the acquisition of Equus Workforce Solutions, including the purchase, by way of share acquisition, of the Canadian business operating under the brands Agilec, Res-Care, and Brightspring Health. Comprehensive transactional representation including regulatory, tax, and health care industry compliance advice.

• 

Advising the administrative agent and a syndicate of lenders on a CA$210 million syndicated project financing used for the development, installation, construction, ownership, operation and maintenance of the 33 MW Narrows Inlet Hydro Project located 75 km northwest of Vancouver.

• 

Acting for the lender in a CA$4.2 million secured subordinated term loan to Nightingale Informatix Corporation, a provider of cloud-based electronic health record (EHR) software and related services.

• 

Advising Capital Power Corporation on the acquisition of 284-MW of generation from two natural gas-fired power assets in Ontario consisting of the 84-MW East Windsor Cogeneration Centre (East Windsor) and a 50% interest in the 400-MW York Energy Centre (York Energy). The transaction also includes 10-MW of zero-emissions waste heat generation from two facilities (5 MW each) located at Westcoast Energy’s BC Gas Pipeline compressor stations in Savona and 150 Mile House, British Columbia.

•  Acting as counsel to a lender syndicate in connection with the review and risk assessment of their existing security package, the provision of debtor companies with a CA$105 million syndicated credit facility.

Acting as counsel to a borrower in connection with a CA$100 million syndicated financing for a public private partnership.

Acting as Canadian counsel to a borrower group in connection with a US$530 million syndicated credit facility, a subordinated US$110 million syndicated facility and a subordinated €200 million syndicated credit facility.

• 

Acting as counsel to a lender syndicate in connection with review and risk assessment of their existing security package, enforcement and forbearance proceedings and the provision of CA$21 million debtor in possession credit facilities.

• 

Acting as counsel to syndicate of lenders in connection with a US$200 million term facility to a borrower group consisting of more than 75 entities.

• 

Confidential Client: Acting as counsel to a borrower group consisting of more than 100 entities in connection with a US$525 million syndicated financing and a US$20 million subordinate syndicated term loan facility, which closed concurrently.

Advising Conuma Coal Resources Limited on its US$35-million acquisition of assets plus assumed liabilities including three surface mining coal complexes from Walter Energy Canada in this 2017 Cross Border Turnaround of the Year award winning transaction. The complexes were purchased by Walter Energy Canada from Western Energy in 2011 for over CA$3 billion, Turnaround Atlas Awards 2017. The transaction also won the Restructuring Deal of the Year (US$100 million to US$250 million) at the 2017 M&A Advisor Awards (November 2017).
