Overview

Shelby Morrison specializes in intellectual property law, with a focus on transactional and commercial IP matters, as well as copyright and trademark litigation and prosecution. Shelby partners with clients to develop strategies for protecting, enforcing, commercializing and litigating intellectual property rights, ensuring their innovations and brands are safeguarded.

Shelby's extensive experience spans a wide range of industries, including life sciences, energy, IT/SaaS, food and beverage, luxury brands, retail and media & entertainment. She excels in helping clients navigate the complexities of IP commercialization, regularly advising on:

  • Transactions involving intellectual property and regulated industries,
  • Licensing of intellectual property assets, and
  • Intellectual property and regulatory aspects of corporate acquisitions, reorganizations and joint ventures.

Beyond her IP expertise, Shelby provides strategic counsel on regulatory compliance and product regulations, including promotion, packaging, labeling and adherence to legal standards. Her in-depth knowledge extends to the legal cannabis, food, medical devices, natural health products and drug products sectors.

Shelby's professional affiliations include memberships in the Advocates’ Society, the Intellectual Property Institute of Canada and the Canadian Bar Association.

•  Organigram Global in its acquisition of Collective Project, a cannabis and hemp-derived beverage company
•  Resolve Sleep Health, a portfolio company of Kensington Private Equity Fund, in its acquisition of Aveiro Sleep, CanSleep, Parkland CPAP Services, SleepMedix, Chinook Respiratory Care and FreshAir Respiratory Care
•  Verillium Health in its acquisition of Wellwise by Shoppers from Shoppers Drug Mart
•  Employment Hero Holdings, as Canadian counsel, in its acquisition of Humi Holdings, valued at over C$100 million
•  LSI Industries (Nasdaq; LYTS), a manufacturer of commercial lighting and display solutions, in its acquisition of Canada’s Best Store Fixtures, a provider of retail fixtures and custom store design solutions for grocery, quick service restaurant, c-store, banking and specialty retail environments
•  Shift4 Payments and its affiliates in its acquisition of of Eigen Development Ltd. and Eigen Holdings (U.S.) Corp. 
•  ECI Software Solutions, a global provider of cloud-based business management software and services, in its acquisition of Avid Ratings
•  Recognize Partners, as Canadian counsel, in its acquisition of Blue Mantis and its subsidiaries in the US, Canada, and India, from ABRY Partners
•  Prosecuted numerous trademark applications.
•  Various clients on the advertising, labelling, packaging and other requirements under, and compliance with: the Food and Drugs Act; the Food and Drugs Regulations; the Natural Health Products Regulations; the Medical Devices Regulations; and the Cannabis Act and Cannabis Regulations.
•  Nate Hendley and James Lorimer & Company Ltd. in successfully defending against a claim for copyright infringement.
•  Alexa Translations in its trademark infringement action against Amazon.com.
•  Morrison Hershfield Group Inc. with the private company arrangement in its sale to Stantec Consulting Ltd.
•  Lovell Minnick Partners LLC ("LMP") in its acquisition of Netawork Canada Information Technology Products and Services ULC ("Netawork Canada") pursuant to past acquisitions of Net@Work Inc. and its US affiliates.
•  Briacell Therapeutics Corp., in the spin-out of BriaPro Therapeutics Corp.
•  Field Trip Health Ltd., in the spin-out of its drug development and medical clinics businesses into two independent public companies, Reunion Neuroscience and Field Trip Health & Wellness, by plan of arrangement.  The spin-out transaction was supported by a private placement financing led by Oasis Management Company.
•  Acquisition of IBI Group Inc. by Arcadis NV for $873 million via a plan of arrangement.
•  48North Cannabis Corp. in its $50-million acquisition by HEXO Corp. 
•  Pyxus International, in the Canadian aspects of its US$1.2-billion recapitalization under Chapter 11 and infusion of US$400 million of fresh capital.
