Overview

Scott Martyn has 30 years of experience in commercial real estate law with a focus on construction, project finance, project development and infrastructure. He has expertise in advising builders/developers, hospitals, municipalities and governmental participants. Scott has extensive experience in mining law, and in particular, with the creation, transfer, financing and ownership of patented and unpatented claims, mining leases, mining licences of occupation, as well as ownership issues relating to aggregate and quarries.

Scott has been involved in numerous high-profile infrastructure projects, previously acting as legal counsel on the development and construction of Brighton Beach Power Station, William Osler Health Centre, Royal Ottawa Hospital, Roy McMurtry Youth Centre, Niagara Health System, Toronto Waterfront Revitalization Corporation, London Health Sciences Centre, St. Joseph’s Health Centre, the City of Brampton Southwest Quadrant (SWQ) Renewal Plan and Barrie Transit.

Scott’s real estate practice involves the development, acquisition and disposition of retail, office, multi-residential and industrial properties and portfolios. He also advises on financings and refinancings, restructurings, land transfer tax, mortgage enforcement and commercial leasing. Scott represents developers of commercial, residential and multi-residential properties; home builders; and national and international financial institutions.

Experienced in land use planning as well as municipal, environmental and expropriation law, Scott brings transactional experience relating to mining and public-private hospital projects in addition to multi-phased, common elements and available land condominium projects involving development and operational matters.

Scott was previously with Bennett Jones from 1996 to 2011 and became a partner in 2002. During that time, he chaired the Toronto Office Student Committee from 1999 until 2005.

•  Hut 8 Mining in its C$95-million sale of a 310-megawatt power portfolio to TransAlta
•  Parkbridge Lifestyle Communities in connection with the sale of Ponderosa RV Resort 
•  West Red Lake Gold in connection with its Madsen Mine and Rowan Mine located in Red Lake in connection with their reopening and title to their properties 
•  Zhone Technologies, a global provider of fiber optic broadband solutions and cloud software services, in its acquisition of substantially all of the worldwide assets and international subsidiaries of DZS Inc., DZS Services Inc. and DZS California Inc. by way of an Asset Purchase Agreement and an order of the United States Bankruptcy Court out of Chapter 7 bankruptcy proceedings for the Eastern District of Texas approving such sale of assets 
•  Zhone Technologies in itsacquisition of Net Comm Wireless Pty, pursuant to a Deed of Company Arrangement (DOCA) approved by creditors and the Federal Court of Australia  
•  Hut 8, one of the world's largest publicly traded cryptocurrency mining companies, in the stalking horse acquisition, in partnership with Macquarie Equipment Finance, a subsidiary of Macquarie Group Limited, of four natural-gas-fired generating facilities in Ontario from Validus Power, as part of the Validus group’s restructuring proceedings under the Companies' Creditors Arrangement Act (Canada)  
•  York1 Group of Companies, a leading provider of environmental and infrastructure services in Ontario, in connection with a strategic equity investment by Fengate Asset Management, a leading alternative investment manager focused on infrastructure, private equity, and real estate strategies 
•  Court-appointed Monitor in the Stelco (formerly U.S. Steel Canada) CCAA proceedings  
•  Elysium Investments in its acquisition of Development Property and creation of Limited Partnership to own and develop commercial plaza  
•  Parkbridge Lifestyle Communities in its acquisition of two development properties in Wellington County and Thorold  
•  LSI Industries (Nasdaq; LYTS), a manufacturer of commercial lighting and display solutions, in its acquisition of Canada’s Best Store Fixtures, a provider of retail fixtures and custom store design solutions for grocery, quick service restaurant, c-store, banking and specialty retail environments
•  Parkbridge Lifestyle Communities Inc. in the acquisition of developable real property in Thorold and elsewhere in the Province of Ontario.
•  Parkbridge Lifestyle Communities Inc. in connection with the construction of their new head office in Collingwood Ontario.
•  A large construction/development company in connection with the acquisition of several quarries across Canada and the subsequent sale of some of those properties.
•  A large cannabis company in connection with the acquisition of a property in southwestern Ontario.
•  A large owner/operator of commercial and retail properties in connection with the sale of multiple income producing office and industrial properties, including a portfolio of properties in Manitoba.
•  The sale of a golf course in central Ontario.
•  Kubota Canada in connection with the acquisition of a property in Seaton and the construction of a new head office at that location.
