Overview

Karly Descoteaux acts for borrowers and lenders on a wide range of financing transactions, including asset-based loans, acquisition financings, construction financings, project financings, cross-border loans and mortgage lending.

Prior to joining Bennett Jones, Karly worked at another national firm.

Experience
•  The lead arrangers and the lending syndicate of a US$2.55-billion term facility and US$600-million revolving credit facility to support the US$6.3-billion sale of Nuvei
•  The Initial Consenting Senior Secured Noteholders of Sherritt International Corporation, a nickel and cobalt producer and refiner, in connection with a note exchange and recapitalization by way of Court-approved plan of arrangement
•  Verillium Health in its acquisition of Wellwise by Shoppers from Shoppers Drug Mart
•  Employment Hero Holdings, as Canadian counsel, in its acquisition of Humi Holdings, valued at over C$100 million
•  SolGold PLC in entering into a US$750-million syndicated gold stream agreement with Franco-Nevada Corporation and Osisko Bermuda Limited.
•  A strategic investor in its US$25-million secured convertible debt financing of a technology company.
•  Leading Canadian property developer, in its US$130 million bank facility arranged by Bank of Nova Scotia used to finance its acquisition of minority interests in a significant, US based residential development business.
•  Ali Group S.r.l., in it's connection with approximately US$4.5-billion acquisition financing for its acquisition of Welbilt, Inc., comprising of term and revolving loan facilities.
• 

Leading Canadian property developer, in its US$130-million bank facility arranged by Bank of Nova Scotia used to finance its acquisition of minority interests in a significant, U.S.-based residential development business.

•  Lineage Logistics, an international refrigerated warehousing and storage company owned by Bay Grove Capital, on its acquisition of VersaCold Logistics Services, a Canadian refrigerated warehousing company with fully integrated logistics capabilities, from Torquest Partners, The Investment Management Corporation of Ontario and OPTrust.
•  Cresco Labs Inc. in its US$2-billion acquisition of Columbia Care Inc., making Cresco the second-largest cannabis producer and retailer in the U.S. at the time of the transaction.
