In recent years, we have been lead counsel in over $90 billion worth of transactions. We are also known for our “firsts” – having devised many Canadian original bids, takeover strategies, and expansion efforts, including the first major “permitted bid” transaction, the first and only bid for a public company prior to the date of its listing on a stock exchange, the first and only successful “just say no” defence in the retail sector, the then-largest cross-border oil and gas stock merger ever. 

Acting on behalf of large and mid-cap issuers, income funds, royalty trusts, institutional investors, closely held corporations, members of the investment banking and private equity communities as well as boards, committees and shareholder groups, our services cover the spectrum of negotiated and contested mergers and acquisitions. We have a strong record in counselling on hostile bids, poison pills and proxy contests, using our corporate and litigation lawyers as needed to advise special committees and boards of directors in the context of such matters. Frequently, we are called upon to handle leveraged buyouts, joint ventures, exchangeable share transactions, spin-outs, carve-outs, private mergers and going-private transactions.

Our approach is to work closely from the outset with all parties to move deals forward. As the complex nature of mergers and acquisitions requires a multidisciplinary mindset, we often assemble a supporting team of tax, competition, real estate, intellectual property and employment lawyers to advise on the various aspects of the transaction.
