Markel's business law practice includes corporate finance, mergers and
acquisitions and corporate governance.
In his corporate finance practice,
he represents senior and junior publicly traded issuers in public equity and
debt offerings and securities transactions, including initial public offerings,
cross-border MJDS offerings, secondary offerings, flow-through offerings,
special warrant offerings, debt restructurings and private placements. Through
the representation of both acquirors and targets in merger and acquisition
transactions, Brad has extensive and varied experience in all forms of M&A
transactions, involving both public and private target companies and including
friendly and hostile take-over bids, cash tender offers, mergers, cross-border
transactions and exchangeable share transactions. His corporate governance
advisory work includes advising corporations and boards of directors with
respect to general compliance issues and specific issues arising out of
Counsel to Shore Gold Inc. in connection with the acquisition of all of Newmont Mining Corporation's participating interest in the Star-Orion Diamond Mine Project and an option to joint venture agreement and a private placement of $1,000,000 with Rio Tinto Exploration Canada Inc.
- Secure Energy Services Inc., in connection with the issuance of common shares for gross proceeds of approximately $110 million (including the exercise of an over-allotment option).
- Secure Energy Services Inc. in connection with its US$37 million acquisition of XL Fluid Systems LTD.
