Jeffrey Leon, one of Canada’s pre-eminent counsel, helps clients develop practical approaches to complex, ‘bet-the-company’ business litigation and class actions. He advocates for companies, directors, officers, and individuals involved in domestic and cross-border securities, commercial, corporate, product liability, professional negligence and health care proceedings. Jeff has advised independent committees in a variety of corporate transactions and has acted as counsel and neutral in domestic and international arbitrations. He has had extensive experience in a wide variety of administrative law matters. Jeff uses his deep experience to deliver the result sought by clients, whether through negotiated settlement or vigorous advocacy at trial.
Jeff is an Arbitrator and Mediator at Arbitration Place. For a number of years he has been an active Arbitrator and Mediator of international and domestic disputes. He brings to these roles his many years of understanding and experience with all nature of business matters and disputes, his common sense and practical perspective and recognized judgment, and an ability to focus on the real issues at the heart of a matter. He is familiar with the leading arbitral rules and regimes, as well as ad hoc proceedings. His energetic and pragmatic approach enables him to work with parties to fashion an effective process to achieve timely and efficient resolutions, whether through arbitration or mediation.

The literature is rife with commentaries on the relative merits of international
arbitration and trial litigation in national courts. Most begin with the same clichéd observation: after years on the rise, arbitration has now eclipsed litigation as the preferred mechanism for resolving cross-border commercial disputes. This claim is probably true. A 2013 survey reported that 52 percent of companies across industries prefer arbitration. It also found that companies refer disputes to arbitration and litigation in equal measure at 47 percent each. Published in Volume 34, Number 1 of The Advocates' Journal.

New Good-Faith Duty of Honesty in contractual Performance

There is more to contracts in Canada than the words on the page. With its very recent decision in Bhasin v Hrynew (2014 SCC 71), the Supreme Court of Canada has reshaped the way that Canadian courts will look at contractual performance. In a unanimous decision, the Court: (1) recognized good faith contractual performance as a "general organizing principle of the common law of contract"; and (2) recognized a new duty of "honest performance", which requires the parties to be honest with each other in relation to the performance of their contractual obligations. The decision has broad implications, and raises several issues that will likely be the subject of further litigation. Published in the Canadian section of Best of the Best 2015.

OSC Proposes New Whistleblower Program, with Financial Awards

Ontario may soon become the first Canadian jurisdiction to implement a whistleblower program for suspected securities law violations.On February 3, 2015, the Ontario Securities Commission (OSC) issued Staff Consultation Paper 15-401 – Proposed Framework for an OSC Whistleblower Program seeking comment on the proposed whistleblower program. The program, which would offer the potential for substantial financial awards to individuals who come forward with possible breaches of Ontario securities law, would be the first of its kind for securities regulators in Canada and has similarities to the widely-publicized whistleblower program adopted by the United States Securities and Exchange Commission (SEC).

Ontario's statutory regime for secondary market
liability came into effect in 2006 as a result of amendments to the Securities
Act (Ontario) (OSA), which created a statutory cause of action for deficient
market disclosure. Part XXIII.1 of the OSA creates a statutory cause of action
against reporting issuers, their officers and directors, and related parties for
misrepresentations made in secondary market disclosures. However, before such a
claim can be brought, the plaintiffs must obtain leave of the court. The
statutory test for leave is that: (1) the action must be brought in good faith,
and (2) the plaintiffs must have a reasonable possibility of success at trial.
In essence, the legislature granted the courts a gatekeeper function to control
litigation and to ensure that only claims with some merit
proceed.

Not on the Rink in My Backyard

It is well-known that for 20 years Chevron Corp. has been engaged in litigation with residents of the Lago Agrio region of Ecuador over alleged environmental and health damage arising out of oil exploration activities by Chevron's predecessor, Texaco. The dispute has played out in numerous instalments both in the federal courts of the United States and in the courts of Ecuador and has involved issues of jurisdiction, forum conveniens, validity of a settlement agreement under investment treaty law and allegations of fraud. Ultimately, in 2011, the plaintiffs obtained an Ecuadorian trial judgment for approximately $18 billion, later upheld on appeal. On May 30, 2012, the plaintiff brought the party to Canada.

There is a Border in Cross-Border Proceedings

Those who have been following the progress of the securities class
action saga of Silver v. IMAX will be interested to note that another decision
in the long-running case has been released. On March 19, Justice van Rensburg
of the Ontario Superior Court held that members of a class certified in
Ontario can be bound by a settlement in a related U.S. class action and
therefore excluded from participating in the Ontario class proceeding. This
decision is a welcome one for companies defending overlapping class actions
in two different jurisdictions as it provides a means of settling in one
jurisdiction and nonetheless achieving a final resolution of all claims of
class members, including those comprising part of a certified class in another
jurisdiction.

Avoiding Self-Incrimination in Canada

It is increasingly common for counsel to find themselves dealing with a civil action in which one party may be facing criminal or regulatory sanctions arising from the same events underlying the civil action. For example, a defendant may be charged in criminal or regulatory proceedings for insider trading or tipping and may also be defending a civil action for, among other things, breach of fiduciary duty. Similarly, a company may commence a civil action against a former employee to recover stolen funds while that individual faces criminal fraud charges. These issues may also arise in personal injury, antitrust and environmental litigation. The Supreme Court of Canada's recent decision in R v Nedelcu raises some complex and difficult issues for counsel on the use of civil evidence in subsequent criminal proceedings.

In its recent decision, Re Coventree Inc., the Ontario Securities Commission (the "Commission") made subtle yet significant changes to securities law jurisprudence. The decision represents a broadening of the term "material change" and it expands the discretion of the Commission to determine when a material change occurred and what constitutes materiality. Given the nature of these changes, counsel will need to keep in mind the Commission's seemingly expansive authority to find violations of the Ontario Securities Act when advising clients. Regulatory Settlements and Class Proceedings: The Ontario Court of Appeal Closes the Door, but is a Window Still Open?

On January 27, the Court of Appeal released its decision in Fischer v. IG Investment Management, upholding the decision of the Divisional Court to certify the class action. The main issue in this case is whether the class action should be certified in light of a settlement with the Ontario Securities Commission (OSC) which already provided the plaintiffs with a payment of $205.6 million. The motions judge refused to certify the class action on the basis that a class proceeding was not the preferred procedure given that access to justice had already been secured. However, this decision was reversed by the Divisional Court, and the Court of Appeal agreed with the conclusion of the Divisional Court but for different reasons.

The Court of Appeal Clarifies Ontario's Summary Judgment Rule

The Court of Appeal for Ontario has provided much-needed clarification on the scope and purpose of Ontario's new summary judgment rules (Combined Air Mechanical Services Inc. v. Flesch, 2011 ONCA 764). The issue was important enough that the Court joined together five very different appeals from summary judgment motions, and the appeals were heard by a rare five-judge civil panel. In the Court's view, summary judgment motions should be limited to cases where (i) the parties agree to use summary judgment; (ii) the claim or defence is without merit or; (iii) where the motion judge can “fully appreciate” all of the evidence needed to dispose of the case without a trial.

Liability of Professionals in a Post-Financial Crisis Milieu: A 'Made in Canada' Tempered Response

In the past few years, the global economy has witnessed a financial and credit crisis resulting in a so-called global recession. In Canada, while the impact of the "crisis" was less severe than in other countries, it was significant enough to warrant the government's attention and purported intervention, in an attempt to (among other things) decrease the risks to Canada's capital markets and to protect investors. In the last year, the federal government has introduced new proposed securities legislation and made amendments to the Canadian Criminal Code. With respect to common law claims, while Canada has not seen a significant direct correlation between the financial crisis and an increase in civil claims, securities class actions appear to be on the rise and courts are arguably demonstrating a more "plaintiff-friendly" approach to the use of such actions as a supplement to regulation to achieve behaviour modification. Round II to the Provinces: Quebec Court of Appeal Rejects Canadian Securities Act as Unconstitutional

On March 31, 2011, the Quebec Court of Appeal released a 4-1 decision finding that the proposed Canadian Securities Act (CSA) is unconstitutional. The majority decision echoes the recent decision of the Alberta Court of Appeal, which also found the CSA to be beyond federal jurisdiction. However, Justice Dalphond of the Quebec Court of Appeal dissented, finding that the CSA is constitutional. Neither of these decisions is the final word on the matter: the Supreme Court of Canada is scheduled to hear arguments on the CSA on April 13th and 14th, 2011, and will ultimately determine its constitutionality. It remains to be seen whether it will adopt the position of the Alberta Court of Appeal and the majority of the Quebec Court of Appeal in finding the CSA unconstitutional, or whether it will agree with the views of Justice Dalphond and conclude that the CSA is within federal authority.

Round I to the Provinces: Alberta Court of Appeal Rejects Canadian Securities Act as Unconstitutional

Earlier this month, the Alberta Court of Appeal rejected the federal government's proposed national securities legislation as unconstitutional. The Quebec Court of Appeal's decision on the same issue is expected shortly. Though the Alberta decision is strongly worded, the final decision rests with the Supreme Court of Canada, which will hear arguments on April 13 and 14, 2011. It remains to be seen whether the Alberta decision foreshadows the Supreme Court's reasons, or becomes the voice of dissent on this issue.

In January 2010, potential corporate defendants to class actions breathed a (small) sigh of relief as Justice Perell in Fischer v. IG Investment Management Ltd. refused to certify a class action on the basis that a settlement with the Ontario Securities Commission (OSC) had already provided aggrieved investors with a payment of $205.6 million. The decision meant that by participating in a regulatory settlement in which restitution was made to individuals, a corporation could potentially avoid a class action. In the plaintiff-friendly world of class actions, Justice Perell's decision was a welcome change. However, this comfort was short lived. On January 31, 2011, the Ontario Divisional Court overturned Justice Perell's decision and certified the class action.

released Dobbie et al. v. Arctic Glacier Income Fund et al., the second
decision considering whether to grant leave under the new Part XXIII.1 of the
Securities Act (Ontario). Part XXIII.1 creates a statutory right of
action against reporting issuers, their officers and directors, and related
parties for misrepresentations made in secondary market disclosures. Before such
a claim can be brought, the plaintiffs must obtain leave of the court. In
Dobbie et al. v. Arctic Glacier Income Fund et al., leave was granted to
the plaintiffs and a national class of Arctic investors was certified for both
the statutory causes of action and common law
claims.
