Sander Grieve practises public market finance and mergers and acquisitions. While Sander acts for clients in a number of industries, he focuses on global mining exploration, development and extraction.
In the finance field, he acts on behalf of issuers, underwriters and agents with respect to domestic and international securities issues. His M&A activities include engagements for a variety of vendors and purchasers, in the context of the full range of friendly and hostile mandates. His corporate retainers include advice on matters of corporate governance issues and crisis response and management.

On April 17, 2025, the Ontario government introduced Bill 5, called the Protect Ontario by Unleashing Our Economy Act, 2025 (Bill 5), an extensive legislative proposal aimed at accelerating resource development and reducing regulatory burdens across Ontario's key industries, including mining. Notably, Bill 5 also proposes a new discretionary authority to deny the issuance of mining leases and cancel existing claims and tenures for the purpose of protecting the "strategic national mineral supply chain".

The Act imposes a reporting obligation on certain government institutions and private-sector entities that have a nexus to Canada and engage in certain activities. The first reporting deadline is quickly approaching, with the first reports due by May 31, 2024 (and by May 31 of every year thereafter).

The Ontario Securities Commission (OSC) has announced that it will return to its pre-December 7, 2021, service standard timelines and commitments for prospectus reviews effective January 9, 2023, given market changes and ahead of the full review of the OSC Service Commitment for the next fiscal year. The OSC had previously temporarily changed its service commitments standards and expanded service timelines on December 7, 2021 (as updated by the 2022 annual service commitment review), which are effective to March 31, 2023, in response to heightened market activity and substantially increased volume and complexity of filings submitted to the OSC.

Mountain Province repaid the remaining balance of the existing notes at maturity with cash on hand.

Miners Beware: Regulators Read Your Investor Presentations

On April 9, 2015, the Canadian Securities Administrators (CSA) published CSA Staff Notice 43-309 - Review of Website Investor Presentations by Mining Issuers (the Staff Notice), which summarizes the findings of a review of 130 investor presentations (the Reviewed Presentations) posted on websites of pre-production stage mining issuers. The Staff Notice reminds mining issuers that investor presentations and other information found on an issuer's website constitute "written disclosure" for the purposes of National Instrument 43-101 – Standards of Disclosure for Mineral Projects (NI 43-101) and, therefore, must comply with NI 43-101's disclosure requirements as well as the forward looking information (FLI) requirements of National Instrument 51-102 – Continuous Disclosure Obligations. The Staff Notice also suggests ways to improve compliance in designing investor presentations and websites to meet disclosure obligations.
