Norman Findlay is primarily engaged in securities law with an emphasis on public offerings of securities, mergers and acquisitions, and takeovers. His practice also involves private placements of debt and equity securities, mining law and general corporate transactions. Norman has been recognized by Lexpert as a leading practitioner in Mining and Corporate Finance & Securities, by The Best Lawyers in Canada in the practice areas of Mergers & Acquisitions Law, Mining Law, Natural Resources Law and Securities Law and by Who's Who Legal: Canada and Who's Who Legal: The International Who's Who of Business Lawyers for Mining Law. In addition, Norman has been recognized by Canadian Who's Who as a prominent Canadian. He has also spoken at a number of conferences in Canada, the United States, South Africa and South America on topics relating to securities and mining law. Norman has acted as lead counsel for issuers and investment dealers in a number of significant financings and M&A transactions.

RBC Dominion Securities Inc., in an up to US$500M at-the-market program re-launch for the sale of common shares pursuant to a short-form prospectus supplement and an equity distribution agreement with Algonquin Power & Utilities Corp.
A syndicate of underwriters, led by Leede Jones Gable Inc., in the $4.6-million bought-deal of Plurilock Security Inc.
A syndicate of underwriters, co-led by Leede Jones Gable Inc., in the $8.1-million bought-deal public offering of units of Ventripoint Diagnostics Ltd.
The syndicate of underwriters, led by J.P. Morgan Securities LLC in the US$1.15-billion Algonquin Power & Utilities Corp.'s (APUC) underwritten marketed public offering of Equity Units.
A syndicate of agents co-led by CIBC World Markets Inc., in Algonquin Power Co.'s (a subsidiary in the Liberty Renewable Energy Group of Algonquin Power & Utilities Corp. (TSX: AQN)) sale of $400-million 2.85% senior unsecured debentures with a maturity date of July 15, 2031 (the "Liberty Power Debentures") pursuant to a private placement in Canada. The Liberty Power Debentures were offered at a price of C$999.92 per C$1,000 principal amount.
The syndicate of underwriters, led by J.P. Morgan Securities LLC in Liberty Utilities Co.'s offering of US$600 million of 2.050% Senior Notes.
Algonquin Power & Utilities Corp., led by a syndicate of agents, Scotia Capital Inc. and CIBC Capital Markets, in the bought-deal offering of common shares in the amount of $633-million and the concurrent financing of $350-million.
Stifel Nicolaus Canada Inc., leading the syndicate of underwriters in connection with Orla Mining Ltd.’s $75-million brokered bought deal of common shares.
Katanga Mining Limited, in its $7.6-billion rights offering financing backstopped by Glencore to fund debt repayment to Glencore.
A syndicate of agents, led by BofA Merrill Lynch, in Algonquin Power & Utilities Corp.’s public offering of US$350 million aggregate principal amount of 6.20% fixed-to-floating subordinated notes
Katanga Mining Limited, in the review by Katanga’s Independent Directors of certain of Katanga’s historical accounting practices, and in connection with the restatement of the Katanga’s previously filed financial statements arising from the review. Katanga is a publicly traded company whose majority shareholder is Glencore, one of the world’s largest mining companies.
Katanga Mining Limited, in the US$5.6 billion recapitalization plan initiated by its parent Glencore PLC, pursuant to which Katanga issued US$5.6 billion in equity to retire debt owed to its copper-cobalt joint venture partner, the Democratic Republic of Congo state-owned Gécamines, in order to resolve all disputes arising from an action brought by Gécamines in the DRC to dissolve joint venture operating company owned by Katanga (75%) and Gécamines (25%).
