Michael DeFaria has a general corporate commercial practice, with an emphasis on mergers and acquisitions, securities, structured finance, asset securitization, mining and corporate finance matters. As a student-at-law, he was seconded to the Ontario Securities Commission where he worked in the Enforcement Branch. Prior to becoming an associate, Michael summered and articled with the firm. He is a member of the Canadian Bar Association and the American Bar Association and is also a registered notary public.

  • Difference Capital Financial Inc. in connection with its substantial issuer bid to purchase $7,000,000 of its own issued and outstanding common shares.
  • Acting for an underwriting syndicate led by BMO Capital Markets Corp. and J.P. Morgan Securities in connection with a private placement of U.S.$476,191,000 of credit card receivables-backed notes issued by Master Credit Card Trust II.
  • Difference Capital Financial Inc. in connection with its substantial issuer bid to purchase $12,000,000 aggregate principal amount of its own issued and outstanding convertible debentures. Read more
  • Crius Energy Trust in connection with its $46.1 million bought deal short form prospectus offering co-led by Cormark Securities Inc., Scotiabank and RBC Capital Markets, and including Desjardins Capital Markets and Mackie Research Capital Corporation for the primary purpose of increasing its ownership in Crius Energy, LLC from $26.8% to 43.1%.
